Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") govern your purchase and use of products from Service Filtration of Canada Ltd. ("we," "us," "our") through www.industrial-supplier.com. By placing an order, creating an account, or using our website, you agree to these Terms. If you do not agree, do not place an order.
2. Business-to-Business Sales Only
Our products are sold exclusively for commercial, industrial, and business purposes. By placing an order, you represent and warrant that:
- You are purchasing in the course of a business, trade, or profession, and not as a consumer for personal, family, or household use;
- You have the authority to enter into these Terms on behalf of the business placing the order;
- You have the knowledge, competence, and resources to evaluate and safely use industrial equipment of the type we supply.
Our products are not offered for sale to consumers. These Terms are intended to govern a commercial transaction between businesses, and the parties agree that consumer protection legislation applicable to consumer transactions is not intended to apply to sales made under these Terms.
3. Products Are Made to Order
Our products are manufactured or configured to order based on the specifications and requirements you provide. You are solely responsible for confirming that the equipment, specifications, and sizing you select are correct and suitable for your intended application. We strongly encourage you to contact us before ordering. Please also review our Return & Refund Policy, which forms part of these Terms.
4. Proper Use and Buyer Responsibility
Our products are industrial equipment intended for use only by competent, qualified, and appropriately trained persons, strictly in accordance with the manufacturer's instructions, specifications, ratings, and all applicable safety standards, codes, and laws.
You are solely responsible for:
- Selecting a product suitable for your intended use and operating environment;
- Ensuring the product is installed, operated, maintained, inspected, and stored correctly and safely;
- Ensuring all persons using the product are properly trained and authorized;
- Providing and using appropriate safety equipment and complying with all applicable workplace health and safety regulations;
- Complying with the manufacturer's documentation, warnings, and load, capacity, or usage limits.
5. Misuse of Products
To the fullest extent permitted by law, we are not liable for any loss, damage, injury, or death arising from the misuse of any product, including but not limited to: use beyond the product's stated ratings, capacity, or specifications; improper installation, operation, or maintenance; use by untrained or unauthorized persons; modification or alteration of the product; failure to follow the manufacturer's instructions or applicable safety standards; or use of the product for any purpose other than that for which it was supplied.
6. Accidents and Limitation of Liability
To the fullest extent permitted by applicable law, and as between commercial parties, we are not liable for any accident, incident, injury, death, property damage, business interruption, loss of profit, loss of production, or any direct, indirect, incidental, special, consequential, or punitive damages arising out of or connected with the use of, or inability to use, any product supplied by us, whether the claim is based in contract, tort (including negligence), strict liability, or otherwise.
Where liability cannot lawfully be excluded, our total aggregate liability arising from or connected to any product or order is limited to the amount you paid for the product giving rise to the claim.
7. Warranty — Handled by the Manufacturer Only
Any warranty applicable to a product is provided solely by the product's manufacturer and is subject to that manufacturer's terms, conditions, exclusions, and claims process. We do not provide, extend, or assume any warranty of our own.
All warranty claims must be made directly to the manufacturer in accordance with their warranty terms. We are happy to direct you to the appropriate manufacturer contact where we can, but we are not responsible for honouring, administering, or fulfilling manufacturer warranties. To the fullest extent permitted by law, and as between commercial parties, we disclaim all other warranties, conditions, and representations, whether express or implied, including any implied warranties or conditions of merchantability, fitness for a particular purpose, or durability.
8. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Service Filtration of Canada Ltd. and its owners, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of a product, your breach of these Terms, or your failure to comply with the manufacturer's instructions or applicable laws and safety standards.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute shall be subject to the exclusive jurisdiction of the courts of Ontario.
10. Changes to These Terms
We may update these Terms from time to time. The version in effect at the time of your order applies to that order. Continued use of our website or placement of further orders constitutes acceptance of the current Terms.
